1. Agreement to Terms
By accessing or using the website at opspring.ai (the "Site") or engaging the services of OpSpring ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our Site or services.
2. Description of Services
OpSpring provides AI consulting, custom AI development, workflow automation, and related technology services for businesses. Our services include but are not limited to:
- AI strategy consulting and assessments
- Custom AI chatbot and agent development
- Generative engine optimization (GEO)
- Workflow automation and integration
- Ongoing support and maintenance
OpSpring also offers software-as-a-service products, including ProducerHQ (AI-powered document analysis and book intelligence for insurance agencies). Specific deliverables, timelines, and fees for each engagement are defined in a separate statement of work (SOW), service agreement, or product subscription between you and OpSpring.
3. Customer Data and AI Processing (SaaS Products)
This section applies to OpSpring's software products, including ProducerHQ (collectively, the "Products"), and governs the documents, files, and data you upload to or generate within them ("Customer Content").
Your Content Stays Yours
You retain all rights to Customer Content. We process it solely to provide the Products to you (analysis, comparison, reporting, and the other features you use), to respond to your support requests, and, during free trials, to review trial activity for accuracy verification and support and, using de-identified data only, for product improvement, as described in the applicable trial terms (for ProducerHQ, the Trial Service Agreement), and for no other purpose.
No AI Training on Your Content
We do not use Customer Content to train artificial intelligence models — neither our own nor any third party's. The AI providers we use process Customer Content under commercial terms that prohibit them from training models on it. Customer Content is never pooled with another customer's data, never shared with another customer, and never sold.
Isolation and Security
Customer Content is scoped to your organization's account and is not visible to any other customer. It is encrypted in transit (TLS) and at rest (AES-256), protected by role-based access controls, and covered by audit logging within the Products.
Retention, Export, and Deletion
We retain Customer Content for as long as your account is active and as required by applicable insurance record-retention laws (which commonly require records to be kept for multiple years). You may request an export of your Customer Content, or deletion of specific documents, by contacting hello@opspring.ai. We will honor deletion requests except where retention is required by law or by records that must be preserved for compliance purposes (such as audit trails).
Subprocessors
We use a small set of infrastructure providers to deliver the Products, currently including Amazon Web Services (hosting and storage), Anthropic (AI processing), Vercel (application hosting), Stripe (billing), Resend (transactional email), and PostHog (product usage analytics, configured to mask document content and on-screen text). Each processes Customer Content only as needed to provide its service to us, under contracts that restrict it to doing so. A current list is available on request.
Professional Review
The Products produce analysis intended as decision support for licensed professionals. Outputs must be reviewed by a qualified, licensed person before being relied upon or presented to a client; the Products do not provide insurance, legal, or professional advice.
4. Use of the Website
You agree to use our Site only for lawful purposes. You may not:
- Use the Site in any way that violates applicable laws or regulations
- Attempt to gain unauthorized access to any part of the Site or its systems
- Use automated tools to scrape, crawl, or extract data from the Site without our written consent
- Transmit any malicious code, viruses, or harmful content
5. Intellectual Property
Our Property
All content on the Site (including text, graphics, logos, design, and software) is the property of OpSpring or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without our written permission.
Client Work Product
Ownership of deliverables created during a client engagement is governed by the applicable statement of work or service agreement. Unless otherwise agreed in writing, upon full payment, clients receive ownership of custom code and deliverables created specifically for their project. OpSpring retains the right to use general knowledge, techniques, tools, and frameworks developed or utilized during the engagement.
6. Payment Terms
Payment terms for services are defined in the applicable statement of work or service agreement. Unless otherwise specified:
- Invoices are due within 30 days of issuance
- Late payments may incur interest at a rate of 1.5% per month
- We reserve the right to pause or suspend services for overdue accounts
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of an engagement. This obligation survives the termination of any service agreement and remains in effect for a period of two (2) years following termination, unless the information becomes publicly available through no fault of the receiving party.
8. Warranty Disclaimer
Our Site and services are provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that:
- The Site will be uninterrupted, error-free, or secure
- AI-powered solutions will produce specific business outcomes or results
- Any defects will be corrected within a particular timeframe
AI technologies are inherently probabilistic. While we strive to deliver reliable, high-quality solutions, we cannot guarantee specific performance metrics unless explicitly stated in a service agreement.
9. Limitation of Liability
To the maximum extent permitted by law, OpSpring shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Site or services, including but not limited to loss of profits, data, or business opportunities.
Our total liability for any claim arising from or related to our services shall not exceed the total fees paid by you to OpSpring in the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless OpSpring, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of our Site, your breach of these Terms, or your violation of any third-party rights.
11. Termination
We may suspend or terminate your access to the Site at any time for any reason. For service engagements, termination rights and procedures are defined in the applicable statement of work or service agreement. Upon termination, provisions regarding intellectual property, confidentiality, limitation of liability, and indemnification shall survive.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of our services shall be resolved through binding arbitration in San Diego County, California, in accordance with the rules of the American Arbitration Association.
13. Changes to These Terms
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of our Site or services after changes are posted constitutes acceptance of the revised terms.
